These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and FRV Connect Hub ("Company", "we", "us", or "our"), the operator of the Conectoo platform ("Service"). By registering for an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
Conectoo is a unified social messaging platform that enables businesses to manage customer conversations from multiple social media channels — including Facebook, Instagram, WhatsApp Business, and others — through a single dashboard. The Service includes inbox management, team collaboration tools, automation features, and analytics.
The Service is provided on a subscription basis. Features available to you depend on the subscription plan you have selected. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
To use the Service, you must register for an account by providing accurate, complete, and current information. You are responsible for:
You may not share your account credentials with any third party or allow others to access the Service through your account unless you have purchased a multi-seat plan that authorises multiple users.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:
The Service connects to Meta platforms (Facebook, Instagram, WhatsApp Business, Messenger) through Meta's official APIs. By connecting your Meta accounts to Conectoo, you agree to:
We are not responsible for any suspension, restriction, or termination of your Meta accounts or any changes Meta makes to its APIs or policies that affect the Service.
Conectoo is offered on a subscription basis with plans described on our pricing page. Subscription fees are charged in advance on a monthly or annual basis as selected during registration.
By providing payment details, you authorise us to charge the applicable subscription fee to your payment method. All fees are exclusive of applicable taxes (including Spanish IVA), which will be added where required by law.
Subscription fees are non-refundable except where required by applicable consumer protection law in your jurisdiction. If you cancel your subscription, you will retain access to the Service until the end of your current billing period.
We reserve the right to change subscription prices with at least 30 days' notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.
The Service and all its content, features, and functionality — including software, design, trademarks, and text — are owned by FRV Connect Hub and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes in accordance with these Terms.
You retain ownership of all content, data, and materials you submit to or transmit through the Service ("User Content"). By using the Service, you grant us a limited licence to process, store, and transmit your User Content solely to provide the Service to you.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
We do not guarantee the accuracy, completeness, or reliability of any data retrieved from Meta or other third-party platforms through the Service.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FRV CONNECT HUB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Spanish or EU law.
You agree to indemnify, defend, and hold harmless FRV Connect Hub and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including Meta's Platform Policies; or (d) your User Content.
You may cancel your subscription and terminate your account at any time through your account settings or by contacting office@conectoo.io.
We may suspend or terminate your access to the Service immediately and without prior notice if: (a) you materially breach these Terms; (b) your use of the Service poses a risk to us, other users, or third parties; (c) required by law or a competent authority; or (d) your subscription payment has failed and remains unpaid after a reasonable grace period.
Upon termination, your right to access the Service ceases immediately. We will retain and then delete your data in accordance with our Privacy Policy and applicable law.
These Terms are governed by the laws of Spain, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Zaragoza, Spain, except where mandatory consumer protection laws in your jurisdiction require otherwise.
If you are a consumer resident in the European Union, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
We may update these Terms from time to time. We will notify you of material changes by email or through a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
